Terms and Conditions 1. Your relationship with UKPJ 1.1 Your use of the UKPJ website (the "Website") and any products, software and services, provided to you on or from the Website by UKPJ (collectively called the "Services" in this document) is subject to the terms of a legal agreement between you and UKPJ. "UKPJ" means www.ukpharmacyjobs.co.uk 1.2 Your legal agreement with UKPJ is made up of (A) the terms and conditions set out in this document and (B) UKPJ's Privacy Policy (collectively called the "Terms of use"). 1.3 The Terms of use form a legally binding agreement between you and UKPJ in relation to your use of the Services. It is important that you take the time to read them carefully. 1.4 The Terms of use apply to all users of the Website, including users who are also contributors of content, information, and other services to UKPJ. 2. Accepting the Terms of use & Changes to the Terms of use 2.1 In order to use the Services, you must firstly agree to the Terms of use. You may not use the Services if you do not accept the Terms of use. 2.2 You can accept the Terms of use by simply using the Services. You understand and agree that UKPJ will treat your use of the Services as acceptance of the Terms of use from that point onwards. 2.3 You may not use the Services and may not accept the Terms of use if (a) you are not of legal age to form a binding contract with UKPJ, or (b) you are a person who is either barred or otherwise legally prohibited from receiving or using the Services under the laws of the country in which you are resident or from which you access or use the Services. 2.4 You should print off or save a local copy of the Terms of use for your records. 2.5 UKPJ may make changes to the Terms of use from time to time. When these changes are made, UKPJ will make a new copy of the Terms of use available at http://www.ukpharmacyjobs.co.uk 2.6 You understand and agree that if you use the Services after the date on which the Terms of use have changed, UKPJ will treat your use as acceptance of the updated Terms of use. 2.7 You should check the Terms of use regularly for changes. 3. UKPJ accounts 3.1 In order to access some features of the Website or other Services, you will have to create a UKPJ account. When creating your account, you must provide accurate and complete information. It is important that you must keep your UKPJ account password secure and confidential. 3.2 You must notify UKPJ immediately of any breach of security or unauthorised use of your UKPJ account that you become aware of. 3.3 You agree that you will be solely responsible (to UKPJ, and to others) for all activity that occurs under your UKPJ account. 3.4 You will be able to access and change any element of your account at any time by logging into UKPJ and choosing the 'Manage listing'. 4. Using UKPJ 4.1 UKPJ allows you to search for employees or employers and to contact the people and companies that provide these listings. UKPJ allows you to advertise your vacancies or services for people to make direct contact with you. You are allowed to use the website and the results of any search you carry out on the website for this purpose unless this is not allowed under paragraph 4.2 of these conditions. 4.2 You cannot use the website: a. for any unlawful purpose; b. to harm, threaten, abuse or harass another person, or in a way that invades someone's privacy or is (in our reasonable opinion) offensive or is unacceptable or damaging to UKPJ or companies within UKPJ Group; c. to create, check, confirm, update or amend your own or someone else's databases, records, directories, customer lists, mailing or prospecting lists; d. to tamper with, update or change any part of the website; e. in a way that affects how it is run; f. in a way that imposes an unreasonable or disproportionably large burden on UKPJ's communications and technical systems as determined by us; or g. using any automated means to monitor or copy the website or its content, or to interfere with or attempt to interfere with how the website works. 4.3 You must not artificially increase the number of click counts or click-through for any advertisement or advertiser, including by: a. any manual means (such as repeatedly clicking on adverts or refreshing pages); b. any automated means (such as computer-generated search requests or similar devices); or c. asking someone to carry out these activities (including by offering any benefit or incentive). 4.3 We have the right to investigate your online activities for 'click-fraud' or any similar activity. You agree to provide reasonable help with these matters. 4.4 UKPJ is constantly innovating in order to provide the best possible experience for its users. You acknowledge and agree that the form and nature of the Services which UKPJ provides may change from time to time without prior notice to you. 4.5 As part of this continuing innovation, you acknowledge and agree that UKPJ may stop (permanently or temporarily) providing the Services (or any features within the Services) to you or to users generally at UKPJ's sole discretion, without prior notice to you. You may stop using the Services at any time by issuing an email request via the home page or contact section contained within the 'Manage Listing'. 4.6 You agree that you are solely responsible for (and that UKPJ has no responsibility to you or to any third party for) any breach of your obligations under the Terms of use and for the consequences (including any loss or damage which UKPJ may suffer) of any such breach. 5. Providing content to UKPJ 5.1 If you provide any content to the website, you agree to grant us permission, free of charge, to use your content in any way we want (including altering, adding and adapting it for operational or editorial reasons) in any media worldwide. In certain circumstances, we may share your content with other trusted organisations. 5.2 After posting content to the website, you continue to own that content, and you continue to have the right to use your content in any way you choose. 5.3 Please choose carefully any information you post on the website, as it may be available for public viewing. By providing any content to the website, and for us to be able to use it, you confirm that: a. your content is your own original content or you are authorised to provide it to the website; b. your content is not defamatory (that is, it does not damage someone's good reputation), does not take away or affect any other person's privacy rights, copyright, contract rights or any other rights, and does not otherwise break any laws of UK; and c. that you have the right to give us permission to use it for the purposes specified above. 5.4 You acknowledge that we do not have a duty to publish any content you have provided. 5.5 We have the right to: a. reject or refuse to post any content you have provided; b. remove any content from the website, whether or not the content goes against any of these conditions; or c. restrict, suspend or stop your access to all or any part of the website at any time. 5.6 We will usually display your name with your content on the website, unless you ask us not to (as long as it is possible to do this). We may need to contact you for administrative purposes or to make checks on your content. User Submissions 6.1 As a UKPJ account holder you may submit content ("User Content") and textual content ("User Comments") (collectively referred to as "User Submissions"). You understand that whether or not such User Submissions are published, UKPJ does not guarantee any confidentiality with respect to any User Submissions. 6.2 You understand and agree that you are solely responsible for your own User Submissions and the consequences of posting or publishing them. UKPJ does not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and UKPJ expressly disclaims any and all liability in connection with User Submissions. 6.3 You further understand and acknowledge that in using the Website and the Services, you may be exposed to User Submissions that could be factually inaccurate, offensive, indecent, or otherwise objectionable to you. You agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against UKPJ with respect to any such User Submissions. 7. UKPJ content on the Website 7.1 With the exception of User Submissions, all other content on the Website including, without limitation, the text, software, scripts, graphics, photos, sounds, music, videos and interactive features on the Website (the "UKPJ Content") is either owned by or licensed to UKPJ, and is subject to copyright, trade mark rights, and other intellectual property rights of UKPJ or UKPJ's licensors. Any third party trade or service marks present on the UKPJ Content are trade or service marks of their respective owners. 7.2 UKPJ Content may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purpose whatsoever without the prior written consent of UKPJ, or UKPJ's licensors. UKPJ reserves all rights not expressly granted in and to the UKPJ Content. 8. Links from UKPJ 8.1 The Services may include hyperlinks to other web sites that are not owned or controlled by UKPJ. UKPJ has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites. 8.2 You acknowledge and agree that UKPJ is not responsible for the availability of any such external sites or resources, and does not endorse any advertising, products or other contents on or available from such web sites or resources. 8.3 You acknowledge and agree that UKPJ is not liable for any loss or damage which may be incurred by you as a result of the availability of those external sites or resources, or as a result of any reliance placed by you on the completeness, accuracy or existence of any advertising, products or other contents on, or available from, such web sites or resources. 9. UKPJ encourages you to be aware when you leave the UKPJ website and to read the terms and conditions and privacy policy of each other website that you visit. 10. Ending your relationship with UKPJ 10.1 The Terms of use will continue to apply until terminated by either you or UKPJ as set out below. 10.2 If you want to terminate your legal agreement with UKPJ, you may do so by (a) notifying UKPJ at any time and (b) closing your UKPJ account. Your notice should be sent, in writing, via email to UKPJ's address which is set accessible on the home page. 10.3 UKPJ may at any time, terminate its legal agreement with you if: a. you have breached any provision of the Terms of use (or have acted in manner which clearly shows that you do not intend to, or are unable to comply with the provisions of the Terms of use); or b. UKPJ is required to do so by law (for example, where the provision of the Services to you is, or becomes, unlawful); or c. UKPJ is transitioning to no longer providing the Services to users in the country in which you are resident or from which you use the Services; or d. the provision of the Services to you by UKPJ is, in UKPJ's opinion, no longer commercially viable. 10.4 When these Terms of use come to an end, all of the legal rights, obligations and liabilities that you and UKPJ have benefited from, been subject to (or which have accrued over time whilst the Terms of use have been in force) or which are expressed to continue indefinitely, shall be unaffected by this cessation, and the provisions of paragraph 14.6 shall continue to apply to such rights, obligations and liabilities indefinitely. 11. Exclusion of Warranties 11.1 Nothing in the Terms of use shall affect any statutory rights which you are always entitled to as a consumer and that you cannot contractually agree to alter or waive. 11.2 The Services are provided "as is" and UKPJ makes no warranty or representation to you with respect to them. 11.3 In particular UKPJ does not represent or warrant to you that: a. your use of the Services will meet your requirements, b. your use of the Services will be uninterrupted, timely, secure or free from error, c. any information obtained by you as a result of your use of the Services will be accurate or reliable, and d. that defects in the operation or functionality of any software provided to you as part of the Services will be corrected. 11.4 No conditions, warranties or other terms (including any implied terms as to satisfactory quality, fitness for purpose or conformance with description) apply to the Services except to the extent that they are expressly set out in the Terms of use. 12. Disclaimers 12.1 Please be aware of the following: a. You use the website at your own risk. b. We advise you to make sure you are satisfied with the exact type and nature of vacancies or services being offered by any person or company you search for using the website. We also recommend that you check the qualifications of people and companies offering the vacancies or services. c. We are not an agent for and do not give guarantees for these people or companies or their vacancies and services. d. You should not rely on the website for advice. e. The website contains hyperlinks to websites run by companies other than UKPJ Limited. We do not control, and are not responsible for, any other websites made available from or through the website. We do not give any guarantees about their content or how they work. You access and use these sites at your own risk and will need to keep to any conditions of use that apply to those sites. We do not approve or sponsor any products, services or content you access or buy through these websites. f. If you register and create an account with UKPJ you may be requested to release some personal information in order to assist the vacancies or service you are trying to promote. You fully accept by taking such action and allowing the release of your personal information, the general public may contact you directly to make an enquiry about the vacancy or service you offer. UKPJ shall not be liable to you and will not be held responsible by you, for contact made to you by the general public, to which you deem inappropriate or unacceptable. 13. Limitation of Liability 13.1 Nothing in these Terms of use shall exclude or limit UKPJ's liability for losses which may not be lawfully excluded or limited by applicable law. 13.2 Subject to the overall provision in paragraph 13.1 above UKPJ shall not be liable to you for: a. any indirect or consequential losses which may be incurred by you. This shall include any loss of profit (whether incurred directly or indirectly), any loss of goodwill or business reputation, or any loss of data suffered by you; b. any loss or damage which may be incurred by you as a result of: i. any reliance placed by you on the completeness, accuracy or existence of any advertising, or as a result of any relationship or transaction between you and any advertiser or sponsor whose advertising appears on the Services; ii. any changes which UKPJ may make to the Services, or for any permanent or temporary cessation in the provision of the Services (or any features within the Services); iii. the deletion of, corruption of, or failure to store, any User Submissions and other communications data maintained or transmitted by or through your use of the Services; iv. your failure to provide UKPJ with accurate account information; v. your failure to keep your password or UKPJ account details secure and confidential. 13.3 The limitations on UKPJ's liability to you in paragraph 13.2 above shall apply whether or not UKPJ has been advised of or should have been aware of the possibility of any such losses arising. 14. General legal terms 14.1 The Terms of use constitute the whole legal agreement between you and UKPJ and govern your use of the Services and completely replace any prior agreements between you and UKPJ in relation to the Services. 14.2 You agree that UKPJ may provide you with notices, including those regarding changes to the Terms of use, by telephone, by email, regular mail, or postings on the UKPJ website. 14.3 You agree that if UKPJ does not exercise or enforce any legal right or remedy which is contained in the Terms of use (or which UKPJ has the benefit of under any applicable law), this will not be taken to be a formal waiver of UKPJ's rights and that those rights or remedies will still be available to UKPJ. 14.4 If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms of use is invalid, then that provision will be removed from the Terms of use without affecting the rest of the Terms of use. The remaining provisions of the Terms of use will continue to be valid and enforceable. 14.5 You acknowledge and agree that each member of the group of companies of which UKPJ is a part shall be third party beneficiaries to the Terms of use and that such other companies shall be entitled to directly enforce, and rely upon, any provision of the Terms of use which confers a benefit on (or rights in favour of) them. Other than this, no other person or company shall be a third party beneficiary of the Terms of use. 14.6 The Terms of use, and your relationship with UKPJ under the Terms of use, shall be governed by Canadian law. You and UKPJ agree to submit to the exclusive jurisdiction of the courts of UK to resolve any legal matter arising from the Terms of use. Notwithstanding this, you agree that UKPJ shall still be allowed to apply for injunctive remedies (or other equivalent types of urgent legal remedy) in any jurisdiction.
